Terms of service
Last updated August 24, 2026. These terms apply to www.matdispatchllc.com and every dispatch, compliance, careers and training service operated by MAT Dispatch LLC.
1. Acceptance of these terms
These Terms of Service ("Terms") are a binding agreement between you and MAT Dispatch LLC ("MAT Dispatch", "we", "us") governing your use of www.matdispatchllc.com and any dispatch, compliance, factoring support, training or administrative service we provide.
By browsing the site, submitting a form, signing a dispatch agreement or accepting a load booked by us, you accept these Terms. If you do not agree, do not use the site or our services.
2. Eligibility
Our services are offered only to businesses and commercial drivers. You must be at least 18 years old and authorized to act for the carrier you represent.
- You hold active operating authority (MC/DOT) or are actively obtaining it through our company formation service.
- You maintain the insurance coverage required by law and by the brokers we book with.
- The information you give us — authority status, insurance, equipment and driver records — is accurate and kept current.
3. Services we provide
MAT Dispatch acts as your back-office agent. We search load boards, negotiate rates, book freight on your behalf, send rate confirmations, handle broker paperwork and support compliance and invoicing.
- We are not a motor carrier, freight broker of record, or freight forwarder, and we do not take custody of freight.
- We do not own, lease or operate trucks and we do not employ drivers.
- All loads are hauled under your authority, your insurance and your control.
- You have final approval over every load; we book only what you authorize.
4. Fees and payment
Dispatch fees are a percentage of the gross linehaul on loads we book, set in your signed dispatch agreement (typically 5%, and 7% for hotshot). Setup, compliance, training and formation services are quoted separately before work begins.
- Fees are invoiced weekly unless your agreement states otherwise, and are due on receipt.
- Where you use a factoring company, dispatch fees may be deducted at funding with your written authorization.
- Late balances may pause dispatch service until cleared.
- Third-party charges — factoring, insurance, permits, ELD, filing fees — are your responsibility and are not included in our fee.
5. Term, cancellation and refunds
Dispatch service runs month to month with no long-term lock-in. Either party may cancel with written notice as stated in your agreement (commonly 14 days).
Fees earned on loads already booked or in transit remain payable after cancellation. Setup and training fees are non-refundable once work has started.
6. Your responsibilities
A successful dispatch relationship depends on your side of the operation.
- Maintain authority, insurance, permits, IFTA, drug and alcohol program enrollment and ELD compliance.
- Operate legally, including hours-of-service and safe loading and securement.
- Communicate delays, breakdowns, detention and OS&D events promptly so we can protect your rates.
- Submit signed rate confirmations, BOLs and PODs on time for billing.
- Do not ask us to book loads you cannot legally or safely haul.
7. No guarantee of revenue
Freight markets move. We do not guarantee a specific rate per mile, number of loads, weekly revenue, or lane availability. Any figures on this site are illustrative examples from past results and are not a promise of future performance.
8. Brokers, shippers and third parties
Loads are contracted between you and the broker or shipper. We are not a party to that contract and are not responsible for non-payment, chargebacks, claims, detention disputes, lumper fees or facility conditions.
We will assist with documentation and follow-up on collections, but recovery remains between you, the broker and, if used, your factoring company.
9. Acceptable use of the website
You agree not to misuse this website or the systems behind it.
- No scraping, automated harvesting, or bulk downloading of content or contact data.
- No attempt to breach, probe or overload our servers, forms or accounts.
- No submitting false, fraudulent or third-party information through our forms.
- No uploading malware or unlawful, infringing or offensive material.
10. Intellectual property
All content on www.matdispatchllc.com — text, layout, graphics, photography, course materials, templates and the MAT Dispatch name and logo — is owned by MAT Dispatch LLC or its licensors and is protected by copyright and trademark law.
Training and course materials are licensed to the enrolled student for personal use only and may not be resold, shared or republished.
11. Content you submit
You keep ownership of documents, resumes and information you send us. You grant us a limited license to use them to deliver the services you requested, and you confirm you have the right to share them.
12. Confidentiality
Both sides will keep the other's non-public business information confidential and use it only to perform this agreement. This does not apply to information that is public, already known, or required to be disclosed by law.
13. Disclaimer of warranties
The website and services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation of the site or load board integrations.
Nothing on this site is legal, tax, insurance or financial advice.
14. Limitation of liability
To the maximum extent permitted by law, MAT Dispatch is not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost loads, deadhead miles, downtime or cargo and equipment damage.
Our total aggregate liability for any claim is limited to the dispatch fees you paid us in the three (3) months before the event giving rise to the claim.
15. Indemnification
You agree to indemnify and hold harmless MAT Dispatch, its owners and staff from claims, damages, fines and legal costs arising from your operations, your equipment, your drivers, cargo claims, accidents, or your breach of these Terms or of any broker or shipper contract.
16. Calls, SMS and consent
By giving us your phone number you consent to receive calls, SMS and WhatsApp messages about load offers, dispatch operations and your account. Message and data rates may apply. Reply STOP to opt out of marketing texts; operational messages may continue while service is active.
17. Suspension and termination
We may suspend or end service immediately if you operate without valid authority or insurance, ask us to act unlawfully, abuse our staff, or fail to pay undisputed invoices.
18. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The parties will first try to resolve any dispute in good faith; unresolved disputes are subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
19. Changes to these Terms
We may update these Terms as our services or the law change. The revision date at the top of this page reflects the current version, and continued use of the site or services after an update means you accept it.
